(3) These General Terms and Conditions apply to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) as well as to consumers within the meaning of Section 13 of the German Civil Code (BGB).
(4) For consumers, the mandatory statutory consumer protection provisions additionally apply.
(5) Individual contractual agreements take precedence over these General Terms and Conditions.
2. Subject Matter of the Services
(1) Mosaic Connect offers in particular the following services:
- Development and modernisation of websites
- Development of digital business systems
- AI-supported automation of business processes
- Development and integration of AI agents
- API integrations
- Development of custom software solutions
- Consulting and technical project support
- Hosting and maintenance services, where agreed
(2) The specific scope of services results exclusively from the respective individual contract.
(3) Services not expressly agreed are not automatically part of the contract.
3. Conclusion of Contract
(1) Information on the website does not, in principle, constitute a binding contractual offer.
(2) Contact requests, consultations and project discussions do not in themselves establish a contract.
(3) A contract is only concluded through the corresponding matching contractual declarations of the parties.
(4) Mosaic Connect generally only begins implementing a project after an individual contract has been concluded.
(5) The contract specifies in particular the scope of services, remuneration, payment terms and, where applicable, project phases.
4. Prices and Payment Terms
(1) The remuneration is determined by the individually concluded contract.
(2) Prices and any applicable value added tax are stated in the respective offer or contract.
(3) Payments are made exclusively by bank transfer.
(4) Payment deadlines and any agreed instalments are set out in the contract.
(5) In the event of late payment, the statutory provisions apply.
(6) Where the statutory requirements are met, Mosaic Connect may withhold or suspend services.
5. Technological Development and Prices
(1) The agreed remuneration takes into account in particular the scope of services agreed at the conclusion of the contract, the project requirements and the necessary development effort.
(2) Technological developments, subsequent cost reductions or the availability of more powerful AI systems do not in themselves give rise to any claim to a retroactive price adjustment, refund or free update of services already rendered in accordance with the contract.
(3) This applies in particular if comparable technical functions become available more easily or at lower cost at a later date.
(4) Statutory rights in respect of defects and mandatory consumer rights remain unaffected.
6. Changes to the Scope of Services
(1) Changes to or extensions of the agreed scope of services require a corresponding agreement.
(2) Additional services may require an adjustment of the remuneration and the project duration.
(3) Mosaic Connect is not obliged to provide additional services free of charge without a corresponding agreement.
7. Customer's Obligations to Cooperate
(1) The customer shall provide the information, content and access required for the provision of the services in good time.
(2) The customer shall ensure that it is entitled to transmit and use the data and materials provided.
(3) Delays due to missing or late cooperation may require an appropriate adjustment of agreed project deadlines.
(4) The customer's statutory rights remain unaffected.
8. AI Systems and Automated Results
(1) AI systems can generate automated content, analyses, recommendations and suggested actions.
(2) AI-generated results may be incomplete, inaccurate or erroneous.
(3) Unless a specific quality or performance has been expressly agreed, Mosaic Connect assumes no guarantee for the factual accuracy of every individual AI-generated result.
(4) The customer is obliged to review AI results appropriately before using them for material business or legal decisions.
(5) The statutory rights in the event of defective services remain unaffected.
9. AI Agents and Automated Actions
(1) AI agents can perform technical and organisational tasks automatically to the agreed extent.
(2) The scope of permissions and automation functions is determined by the respective contract.
(3) The customer is responsible for the lawfulness of the content, instructions and permissions it provides.
(4) Mosaic Connect implements the contractually agreed security and control mechanisms.
(5) Completely error-free automated processing cannot be generally guaranteed.
(6) Liability for Mosaic Connect's own breaches of duty is governed by Clause 19 of these General Terms and Conditions.
10. Prohibited Use
(1) The services may not be used for unlawful purposes.
(2) In particular, no rights of third parties may be infringed and no personal or confidential data may be processed without authorisation.
(3) In the event of significant security risks or unlawful use, Mosaic Connect may take necessary and proportionate protective measures.
(4) The statutory and contractual rights of the parties involved remain unaffected.
11. External Service Providers and Technologies
(1) The services may contain technical components from external providers.
(2) These may include in particular hosting, API services, AI models and software libraries.
(3) The availability, prices and technical characteristics of external services may change.
(4) Insofar as such changes require additional development services that have not been agreed, these require a separate agreement.
(5) Mosaic Connect remains responsible for its own contractual obligations in accordance with applicable law.
12. Technical Development
(1) New software versions, AI models or technical standards may become available after the completion of a project.
(2) The later availability of new technologies does not in itself give rise to a claim to a free technical redevelopment.
(3) Contractually promised updates and statutory update obligations, in particular for digital products for consumers, remain unaffected.
13. Project Acceptance and Defects
(1) Insofar as acceptance is provided for by law or agreed in the contract, it takes place in accordance with the applicable statutory provisions.
(2) The customer is given the opportunity to review the service rendered in accordance with the contract.
(3) Identified defects should be described as specifically as possible.
(4) Additional feature requests that go beyond the agreed service do not constitute a defect for that reason alone.
(5) Statutory warranty and defect rights remain unaffected.
14. Maintenance and Support
(1) Maintenance, support, monitoring and technical updates are governed by the respective contract.
(2) Permanent round-the-clock monitoring of customer systems is only owed if this has been expressly agreed.
(3) Statutory update and warranty obligations remain unaffected.
15. Intellectual Property and Rights of Use
(1) The customer receives the contractually agreed rights of use to the work results.
(2) The time and scope of the grant of rights are determined by the individual contract.
(3) Pre-existing technologies, frameworks, internal tools, general software components and reusable developments of Mosaic Connect generally remain with their respective rights holders.
(4) Rights to open-source software and third-party components are governed by the respective licences.
(5) Source code is handed over to the contractually agreed extent.
16. Confidentiality
(1) The parties shall treat confidential business and technical information of the other party as confidential.
(2) Disclosure is permitted insofar as it is necessary for the proper performance of the contract and is legally permitted.
(3) Statutory disclosure obligations remain unaffected.
(4) The confidentiality obligation continues to apply after the end of the contract for as long as the information is worthy of protection and has not lawfully become public knowledge.
17. Data Protection and Project Data
(1) Personal data is processed in accordance with the applicable data protection regulations.
(2) Insofar as Mosaic Connect processes personal data on behalf of a customer, the parties shall conclude an agreement pursuant to Art. 28 GDPR where the statutory requirements are met.
(3) For customer data, processing within the EU or the EEA is generally sought.
(4) Processing outside this area only takes place if the legal requirements are met and the contractual agreements permit it.
(5) Expressly agreed data processing exclusively within the EU/EEA shall be complied with in accordance with the contractual provisions.
(6) Further information can be found in the Privacy Policy.
18. Project Staff and Collaboration
(1) Mosaic Connect organises the implementation of its projects on its own responsibility.
(2) For this purpose, suitable employees and contractually bound specialists may be deployed.
(3) Mosaic Connect remains responsible to the customer for the fulfilment of its contractual obligations.
(4) Data protection requirements for the use of further processors, in particular under Art. 28 GDPR, remain unaffected.
19. Liability
(1) Mosaic Connect is liable without limitation for intent and gross negligence.
(2) In the event of injury to life, body or health, Mosaic Connect is liable in accordance with the statutory provisions.
(3) In the event of a slightly negligent breach of essential contractual obligations, liability is limited to the foreseeable damage typical for the contract.
(4) Otherwise, liability for damage caused by slight negligence is excluded to the extent permitted by law.
(5) Mandatory statutory grounds of liability and statutory consumer rights remain unaffected.
20. Termination and End of Contract
(1) The contract term, termination options and termination conditions are governed by the respective contract and the statutory provisions.
(2) In the event of early termination, claims to remuneration are governed by the respective type of contract, the agreements made and the statutory provisions.
(3) Services already rendered in accordance with the contract and lawfully accrued claims to remuneration shall continue to be taken into account in accordance with applicable law.
(4) Statutory rights of termination and withdrawal remain unaffected.
21. Consumer Rights
(1) All mandatory consumer protection provisions apply to consumers.
(2) Insofar as a statutory right of withdrawal exists, consumers receive the legally required information and corresponding instructions on withdrawal.
(3) Any expiry of the right of withdrawal or compensation for value in the event of early commencement of performance is governed exclusively by the statutory requirements.
(4) In the case of digital products, the mandatory statutory rights of the consumer in particular remain unaffected.
22. References and Portfolio
(1) Mosaic Connect only uses customers' names, trademarks, logos or non-public project details for advertising or reference purposes with corresponding consent or contractual agreement.
(2) Statutory rights and confidentiality obligations remain unaffected.
23. Applicable Law

(2) With regard to consumers, mandatory protective provisions of the state of their habitual residence remain unaffected insofar as they are applicable.
(3) The statutory provisions apply to agreements on the place of jurisdiction.
24. Final Provisions
